Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MARKET PULSE 11, ITS OWNER, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS YOU PAID TO MARKET PULSE 11 FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Indemnification
You agree to defend, indemnify, and hold harmless Market Pulse 11, its owner, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party rights; or (d) your content or submissions.
Governing Law; Venue
These Terms are governed by the Federal Arbitration Act (for arbitration matters) and, for all other purposes, the laws of the State of Texas, without regard to its conflict of laws principles. Subject to the arbitration agreement below, the exclusive venue for any permitted court proceeding will be the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.
Binding Arbitration and Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will be conducted in Austin, Texas, or by video/telephone conference if mutually agreed. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate.
YOU AND MARKET PULSE 11 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
Small claims court. Either party may bring an individual action in a court of competent jurisdiction for claims that are within that court's jurisdiction.
Injunctive relief. Either party may seek temporary or preliminary injunctive relief in court to protect its intellectual property or confidential information pending arbitration.
Opt-out. You may opt out of this arbitration agreement within 30 days of accepting these Terms by sending a written notice with your full name, address, account email, and a clear statement that you wish to opt out of arbitration to [email protected] or by mail to 1000 E 41st St, Austin, TX 78751, USA.
Export Control and Sanctions
You represent that you are not located in, organized in, or a resident of any country or region subject to comprehensive U.S. sanctions (including, without limitation, Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions), and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws and not to use the Service for prohibited purposes.
Termination; Suspension; Changes to Service
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or if necessary for security, legal, or operational reasons. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnification, governing law, and arbitration) will survive.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
Entire agreement. These Terms, together with any applicable order forms and policies referenced herein, constitute the entire agreement between you and Market Pulse 11 regarding the Service and supersede all prior or contemporaneous agreements on the subject matter.
Headings. Section headings are for convenience only and have no legal effect.
Beta features. Any beta, preview, or experimental features are provided "as is" and may be modified or discontinued at any time without notice.
